⚠️ IMPORTANT SAFETY NOTICE

ChipSense is a monitoring and analysis tool only. This software does NOT control your CNC equipment, does NOT make automatic changes to your operations, and does NOT replace proper safety procedures, equipment maintenance, or professional operator training.

YOU ARE SOLELY RESPONSIBLE for the safe operation of your CNC equipment, following all manufacturer safety guidelines, OSHA regulations, and industry best practices.

Acceptance of Terms

By downloading, installing, or using ChipSense software ("Software"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Software.

1. Software License

1.1 Grant of License

Subject to payment of applicable fees and compliance with these Terms, we grant you a non-exclusive, non-transferable license to use ChipSense software for monitoring and analyzing CNC operations.

1.2 License Restrictions

You may NOT:

  • Reverse engineer, decompile, or disassemble the Software
  • Remove or alter any proprietary notices from the Software
  • Use the Software for any illegal purpose
  • Share your license key with unauthorized users
  • Resell or redistribute the Software

1.3 Professional Use Only

This software is intended for use by trained, professional CNC operators only. You represent that you have the necessary training, certifications, and experience to safely operate CNC equipment.

2. Disclaimer of Warranties

2.1 "AS-IS" Software

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. We make no warranties, express or implied, including but not limited to:

  • Merchantability or fitness for a particular purpose
  • Accuracy or reliability of monitoring data
  • Compatibility with your specific equipment
  • Uninterrupted or error-free operation
  • Prevention of equipment damage or material waste

2.2 No Automation or Control

ChipSense does NOT:

  • Control your CNC equipment
  • Automatically modify G-code or machine parameters
  • Make real-time adjustments to operations
  • Replace operator judgment or decision-making
  • Guarantee any specific performance improvements

2.3 Monitoring Tool Only

ChipSense is a monitoring and analysis tool that provides information and suggestions. All decisions regarding equipment operation, parameter changes, and safety procedures remain your sole responsibility.

3. Limitation of Liability

3.1 No Liability for Equipment or Operations

WE ARE NOT LIABLE FOR:

  • Equipment damage or malfunction
  • Material waste or production losses
  • Personal injury or death
  • Property damage
  • Lost profits or business interruption
  • Data loss or corruption
  • Any indirect, incidental, or consequential damages

3.2 Maximum Liability

Our maximum aggregate liability for any claims arising from or related to the Software shall not exceed the amount you paid for your license in the 12 months preceding the claim.

3.3 User Responsibility

YOU ARE SOLELY RESPONSIBLE FOR:

  • Safe operation of your CNC equipment
  • Following all manufacturer safety guidelines
  • Regular equipment inspection and maintenance
  • Compliance with OSHA and applicable regulations
  • Verifying all suggestions before implementation
  • Maintaining backups of important data
  • Testing any parameter changes in a safe environment

4. Safety Requirements

4.1 Operator Qualifications

By using ChipSense, you represent that you:

  • Are a trained and qualified CNC operator
  • Understand your equipment's operation and safety systems
  • Know emergency shutdown procedures
  • Have read and understand equipment manufacturer's safety guidelines
  • Will follow all applicable safety regulations and standards

4.2 Safety Procedures

You must ALWAYS:

  • Maintain all equipment safety guards and systems
  • Wear appropriate personal protective equipment (PPE)
  • Inspect equipment before each use
  • Test any new parameters in a safe environment
  • Keep emergency stop controls accessible
  • Follow lockout/tagout procedures during maintenance
  • Never bypass safety systems

4.3 No Replacement for Safety Systems

ChipSense does NOT replace or substitute for proper safety equipment, procedures, or operator vigilance. Do not rely solely on software monitoring.

5. Data and Privacy

5.1 Data Collection

ChipSense may collect operational data including audio recordings, machine parameters, and usage statistics for analysis and improvement purposes.

5.2 Data Storage

You are responsible for securing your own data. We recommend maintaining local backups of important operational data.

5.3 Privacy

Your use of ChipSense is also governed by our Privacy Policy, available at www.chipsense.app/privacy.

6. Payment and Refunds

6.1 Payment Terms

Access to Pro features requires a valid license. Prices are subject to change with 30 days notice.

6.2 Refund Policy

We offer a 30-day money-back guarantee. Refunds must be requested within 30 days of purchase by contacting support@chipsense.app.

6.3 Subscription Cancellation

Monthly subscriptions can be cancelled at any time. You will retain access until the end of your current billing period.

7. Support and Updates

7.1 Technical Support

Support is provided via email at support@chipsense.app. We strive to respond within 2 business days but make no guarantees regarding response times or issue resolution.

7.2 Software Updates

We may release updates and improvements. You are responsible for keeping your software up to date.

7.3 No Obligation to Maintain

We reserve the right to discontinue the Software or any features at any time, with or without notice.

8. Intellectual Property

8.1 Ownership

ChipSense and all related intellectual property are owned by us. Your license does not grant you any ownership rights.

8.2 User Data

You retain ownership of your operational data. By using ChipSense, you grant us a license to process this data for providing the service.

9. Termination

9.1 Termination by You

You may terminate your license at any time by uninstalling the Software and ceasing use.

9.2 Termination by Us

We may terminate your license immediately if you violate these Terms. Upon termination, you must cease using the Software.

9.3 Effect of Termination

Termination does not affect any obligations that arose before termination, including payment obligations.

10. Governing Law

10.1 Jurisdiction

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles.

10.2 Dispute Resolution

Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules.

10.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class action lawsuits.

11. Miscellaneous

11.1 Entire Agreement

These Terms constitute the entire agreement between you and ChipSense regarding the Software.

11.2 Modifications

We may modify these Terms at any time. Continued use after modifications constitutes acceptance of the new Terms.

11.3 Severability

If any provision is found invalid, the remaining provisions remain in full effect.

11.4 No Waiver

Failure to enforce any provision does not waive our right to enforce it later.

By using ChipSense, you acknowledge that:

  • You have read and understood these Terms
  • You accept all risks associated with CNC equipment operation
  • You are solely responsible for equipment safety
  • ChipSense provides monitoring tools only, not automation
  • You will follow all applicable safety regulations
